Annual return form in Hong Kong company

An annual return (Form AR1) is a document (as a specified form, containing the particulars of the company such as the address of the registered office, shareholders, directors, secretary, etc. ) setting out certain prescribed company information which is required to be delivered by an Hong Kong company, whether trading or not, to the Company Registry of Hong Kong SAR once at least in every year.

 

When should a company registered under the Companies Ordinance file its annual return?

An annual return must be filed within 42 days after the date of the annual general meeting (AGM), or within 42 days of the anniversary of the company’s incorporation date, or within 42 days after the date of the written resolution passed in lieu of the AGM.  The report must include copies of the company’s balance sheet, as well as reports of the auditors and directors, and be certified as true copies by a director, manager, or secretary of the company.

 

What annual registration fee is due with the annual return?

The government filing fee for annual return is $25 USD if delivered within 42 days of the anniversary of the company’s incorporation date, or within 42 days after the date of the annual general meeting (AGM).

Late filing results in a higher registration fee, and exposes both the company and its officers to fines and possible prosecution.
